Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and Apex Media Group Holdings LLC ("ForkReel", "we", "us") governing your use of the ForkReel app, the ForkReel Studio app and web dashboard, the ForkPass program, and related services (together, the "Services"). By creating an account or using the Services, you accept these Terms and our Privacy Policy. If you use the Services on behalf of a business, you represent that you are authorized to bind that business.

User accounts (consumers)

Diners may create a ForkReel account to discover restaurants, follow them, and claim or redeem ForkPass offers. You are responsible for the activity under your account and for keeping your credentials secure. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. Offers are subject to the terms shown at the point of redemption and to availability at the participating restaurant.

Restaurant accounts (Studio)

ForkReel Studio accounts are for restaurant owners and the team members they authorize. By claiming a restaurant you represent that you own it or are authorized to act on its behalf, and you agree to keep its information accurate. Access is role-based — owner, general manager, marketing, and staff — and the owner is responsible for managing their team's access. Certain features require ownership verification (see Verification requirements).

Content ownership

You retain ownership of the content you submit — including restaurant media, menus, posts, and promotions. By submitting content you grant Apex Media Group Holdings LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for formatting, publish, and display that content to operate and promote the Services (for example, showing a restaurant's posts and offers to diners in ForkReel). This license ends when you delete the content or your account, except for content already shared with others, kept in backups, or required to be retained by law.

User-generated content

You are solely responsible for content you submit and must have the rights to share it. You agree not to post content that is unlawful, infringing, deceptive, harassing, or otherwise violates these Terms.

• No false, misleading, or deceptive claims (including about offers, pricing, or business identity).
• No infringing material, and no content you do not have the rights to use.
• No unlawful, hateful, harassing, or sexually explicit content.
• No spam, scraping, or attempts to manipulate rankings, views, or engagement.

We may remove content or restrict accounts that violate these Terms, and we may cooperate with rights holders and authorities where appropriate.

Creator content

Creators who post videos and content about restaurants retain ownership of their content and grant the license described in Content ownership. Creators must disclose material connections (for example, when content is sponsored or compensated) as required by applicable advertising and disclosure laws. Restaurants featured in creator content may see aggregated performance metrics for content associated with their restaurant.

AI features & AI-generated content

ForkReel Studio offers AI-assisted tools — AI Coach (wins, risks, and recommended next actions), Auto-Pilot (AI-drafted campaigns to review and approve), and Menu AI (menu insights and suggestions).

AI Disclosure

AI recommendations and AI-generated drafts are informational only and may be inaccurate or incomplete. They are suggestions, not professional, legal, financial, or tax advice. Restaurant operators remain solely responsible for:

• pricing
• marketing
• menus
• promotions
• legal compliance
• business decisions

You should review AI output before publishing or acting on it. You are responsible for any content you choose to publish, including AI-assisted drafts. Auto-Pilot does not send campaigns on your behalf without your review and approval.

Promotions & ForkPass

Restaurants may create promotions and ForkPass offers. The restaurant is responsible for honoring the offers it publishes, for the accuracy of their terms, and for compliance with applicable laws (including pricing, alcohol, tax, and consumer-protection rules). ForkReel is not the merchant of record for in-store redemptions and is not responsible for a restaurant's failure to honor an offer. We may remove offers that are deceptive, unlawful, or that violate these Terms.

Sponsored content & placements

ForkReel Studio offers paid promotional products, including Sponsored Posts, Sponsored Video Overlays, Featured Placements, and Promotional Campaigns. Sponsored content is labeled as such to diners where required.

Sponsored Content Disclosure

Purchasing sponsored content increases the visibility of your content but does not guarantee any result. ForkReel does not guarantee:

• impressions
• clicks
• revenue
• conversions

Sponsored placements are subject to availability, our content policies, and applicable advertising laws. We may reject or remove sponsored content that violates these Terms, and amounts paid for removed content are handled under our Refund Policy.

Billing

Paid features are billed through the platform you purchased on: Apple (App Store), Google (Google Play), or Stripe (web). You authorize the applicable processor to charge your selected payment method for the plan or product you purchase, including applicable taxes. Prices are shown at the point of purchase. We may change prices prospectively with notice; changes do not affect the current paid period. Boosts and sponsored placements are charged as described at checkout. Subscription plans

ForkReel Studio subscriptions are offered in tiers — Starter, Growth, Pro, and Elite — each unlocking additional features. Subscriptions auto-renew until cancelled, and premium access may be removed after cancellation or non-payment. Full details, including auto-renewal, cancellation, downgrade behavior, and feature access, are in our Subscription Terms.

Verification requirements

To publish certain content and unlock certain features, a restaurant must complete ownership verification. We may require documentation, may approve or reject claims, and may revoke verification if we later determine a claim was inaccurate or the account was misused. We reserve the right to request additional verification at any time. See our Verification Policy.

Acceptable use

You agree not to misuse the Services, including by attempting to access accounts or data that are not yours, reverse-engineering or disrupting the Services, scraping, circumventing access or rate limits, manipulating metrics, or using the Services to violate any law or third-party right. We enforce access controls server-side; attempting to bypass plan or role restrictions is a violation of these Terms.

Termination

You may stop using the Services and delete your account at any time (see Account deletion). We may suspend or terminate access if you violate these Terms, fail to pay, or create risk or legal exposure for us or others. On termination, your right to use the Services ends; sections that by their nature should survive — including content licenses already granted to others, payment obligations, disclaimers, limitations of liability, and governing law — survive.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any marketing, promotion, sponsored placement, or AI recommendation will produce any particular business result.

Limitation of liability

To the maximum extent permitted by law, Apex Media Group Holdings LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, customers, or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months before the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to indemnify and hold harmless Apex Media Group Holdings LLC and its affiliates from claims, losses, and expenses (including reasonable legal fees) arising from content you submit, your use of the Services, your promotions or offers, or your violation of these Terms or applicable law.

Governing law & disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Texas have exclusive jurisdiction over disputes arising from these Terms or the Services, and you consent to venue there, except where applicable law provides otherwise.

Changes to these Terms

We may update these Terms as the Services evolve. We will revise the "Last updated" date and, for material changes, provide additional notice. Continued use after an update means you accept the revised Terms.
